By engaging VAR&Code's services, you agree to these terms. Please read them carefully.

1. Services
VarandCode provides digital infrastructure services including digital wallet pass management and task execution pipeline automation. Specific deliverables, timelines, and pricing are defined per project agreement.
2. Payment & Billing
Services are billed monthly based on usage metrics defined at project start. Invoices are issued on the 1st of each month. Overdue payments exceeding 14 days may result in service suspension. We do not offer refunds for partial months.
3. Acceptable Use
You agree not to use our services for illegal activities, to distribute spam, to attempt unauthorized access to systems, or to build products that compete directly with VAR&Code using our infrastructure.
4. Intellectual Property
Code and systems we build for you become your property upon final payment. Our internal frameworks, templates, and tooling remain the intellectual property of VAR&Code.
5. Limitation of Liability
VAR&Code's liability is limited to the amount paid in the 30 days prior to any claim. We are not liable for indirect, incidental, or consequential damages arising from service use or interruption.
6. Termination
Either party may terminate services with 14 days written notice. Upon termination, all access to client dashboards and managed infrastructure will be transferred or decommissioned within 7 business days.
7. Governing Law
These terms are governed by the laws of the jurisdiction in which VAR&Code is registered. Any disputes will be resolved through good-faith negotiation first, followed by binding arbitration if necessary.
