These Terms of Service govern access to and use of the website www.varandcode.com, as well as commercial relationships linked to the services offered by VarandCode. By accessing the site or engaging our services, you agree to these terms and conditions.

1. Services
VarandCode offers technology solutions that may include software development, automation, bioinformatics, technical consulting, digital platforms, technology integrations, and related services, as defined in specific proposals or commercial agreements.
2. Quotes, Projects & Billing
Every commercial proposal, quote, scope, timeline, price, or deliverable will be defined individually and may be formalized via email, contract, work order, commercial proposal, or equivalent document. Services may be billed monthly, by milestone, per closed project, or based on usage metrics, as agreed at the start of each commercial relationship. Unless otherwise agreed in writing, invoices may be issued on the 1st of each month or on the contractually defined date. Payments more than 14 days overdue may result in temporary suspension of services, access, or pending deliverables. No refunds are offered for partial periods or services already rendered, except by express agreement between the parties or as required by applicable law.
3. Intellectual Property
Code, systems, or developments created specifically for a client may be transferred as established in the commercial proposal, contract, or upon completion of the final payment. Our internal frameworks, libraries, templates, methodologies, reusable components, and proprietary tools remain the intellectual property of VarandCode Bioinformatics / SERVICIOS INFORMÁTICOS VALENZUELA ASTUDILLO Y COMPAÑÍA LIMITADA. All content on this website, including texts, logos, designs, images, graphics, and proprietary materials, belongs to VarandCode or its respective owners and may not be reproduced, distributed, or used without prior authorization.
4. Acceptable Use
Users agree to use this website and associated services in a lawful, ethical, and responsible manner. Actions that compromise the security, availability, integrity, or functioning of the site are not permitted, including unauthorized access, abusive scraping, malicious automation, technical interference, or malicious/fraudulent use. You agree not to use our services for illegal activities, spam distribution, malicious content distribution, unauthorized access attempts, system exploitation, or any activity that affects third parties. Using infrastructure, access, or resources provided by VarandCode to replicate, resell, or develop directly competitive products or services without prior written authorization is also prohibited. We reserve the right to suspend access or services in cases of serious violations, security risks, or uses contrary to these terms.
5. Limitation of Liability
VarandCode's total liability for any claim related to contracted services will be limited, to the maximum extent permitted by law, to the amount actually paid by the client during the 30 days prior to the claimed event. We will not be liable for indirect, incidental, special damages, loss of revenue, lost profits, or consequences arising from the use, delay, suspension, or interruption of our services, except as required by mandatory legal provision. VarandCode will make reasonable efforts to keep this website available, secure, and up to date. However, it does not guarantee uninterrupted operation, permanent availability, or complete absence of technical errors. We will also not be liable for failures originating from third parties, external providers, hosting services, networks, force majeure, or events outside our reasonable control. Nothing above will limit liabilities that cannot be excluded under applicable law.
6. Termination
Either party may terminate services by written notice at least 14 days in advance, unless a different period is established in a commercial proposal, contract, or specific agreement. In cases of serious violations, misuse, security risks, repeated non-payment, or activities contrary to these terms, VarandCode may suspend or terminate services immediately, notifying when reasonably possible. Upon termination, access to dashboards, managed accounts, repositories, or managed infrastructure may be transferred, closed, or deactivated within a reasonable period, normally not exceeding 7 business days, subject to pending payments, technical coordination, and existing contractual obligations. The parties shall cooperate in good faith for an orderly transition when applicable.
7. Governing Law
These Terms of Service will be interpreted and governed by the applicable laws of the Republic of Chile, unless a different agreement is expressly established in contracts, commercial proposals, or other specific instruments signed between the parties. Any dispute, disagreement, or claim related to these terms or services rendered will be initially attempted to be resolved through good-faith negotiation between the parties. If no reasonable solution is reached, the parties may resort to arbitration, mediation, or competent courts, in accordance with applicable law and what is agreed contractually in each case.
8. Modifications
We may update these Terms of Service when necessary for legal, technical, operational, or commercial reasons. The current version will always be available on this page.
